Belluzzo International Partners assisted Fifth Beat and Xenon in relation to the tax aspects of the transaction, with a team coordinated by Partner Lorena Pellissier.
The financing supporting the acquisition involved a pool of banks comprising Banco BPM, UniCredit and Cherry Bank and included, among other elements, a portability structure applied for the first time in Italy.
The acquisition further strengthens Orvian’s integrated offering across technology, design, marketing and artificial intelligence.
The other advisors involved in the transaction were Sani Zangrando, which assisted Fifth Beat and Xenon on corporate M&A matters and legal due diligence; Cavour Corporate Finance, which acted as financial advisor to the buyer; Pavia e Ansaldo, which assisted the sellers on the legal aspects of the transaction; Endevo Advisory Firm, which acted as financial and tax advisor to the sellers; White & Case, which assisted Fifth Beat and Xenon on the legal aspects of the financing; Deloitte Legal, which advised the pool of lending banks; Epyon Consulting, which carried out the accounting and financial due diligence for the buyer; and OC&C Strategy Consulting, which carried out the commercial due diligence for the buyer. The financing was provided by a pool of banks comprising Banco BPM, UniCredit and Cherry Bank, while the notarial aspects were handled by Notary Ciro de Vivo.
